Paralegal/Legal Assistant

Last Energy (LE) seeks a Paralegal/Legal Assistant to support the legal activities related to developing the next generation of clean energy facilities internationally. This individual will own the legal filing processes, directly support contract negotiation, maintain corporate governance documents, and collaborate on any legal efforts as necessary to drive our mission to produce reliable, carbon-free power globally.
This position will report to LE's General Counsel and work collaboratively with all aspects of the business.



Key Duties & Responsibilities

  • Provide legal support with general corporate maintenance and complex transactions for the company
  • Responsible for maintaining legal department paper and electronic records
  • Responsible for corporate entity governance and management, including relevant filings, powers of attorney and other corporate entity matters
  • Perform first-pass review of commercial contracts, non-disclosure agreements and any other documents as assigned
  • Develop and maintain departmental procedures
  • Maintain oversight of our export control compliance
  • Assist in the regulatory filing requirements of corporate entities and prepare related organizational documents
  • Coordinate negotiations and prepare related documents
  • Prepare legal opinions and assemble opinion back-up
  • Obtain external legal advice as required
  • Draft and file corporate and securities filings
  • Organize corporate records and conduct due diligence reviews
  • Other tasks as assigned or required



Qualifications

  • Bachelor’s degree or Paralegal Certificate preferred
  • Strong command of Microsoft Suite, knowledge of Google Suite preferred
  • Familiarity with and ability to navigate the policies, procedures, and lines of communication between relevant agencies, offices, and other groups
  • Ability to communicate, both written and verbally, in an effective manner to the intended audience
  • Critical thinker, ability to creatively solve problems, deal with ambiguity and a fast-paced changing environment
  • Ability to work independently
  • Experience in legal support in a corporate legal environment
